Terms and Conditions of Sale

 

These Terms and Conditions govern all sales of goods and services by D&B Stone Ltd (the "Seller," "we," or "us") to the customer (the "Buyer" or "you"). By placing an order with us, you agree to be bound by these terms.

 

1. Basis of Sale and Quotations

 

 

1.1 Application of Terms

 

These Terms and Conditions shall apply to all quotations and sales and supersede any other terms, conditions, or representations, unless otherwise agreed in writing by a Director of D&B Stone Ltd.

 

1.2 Quotations

 

  • A quotation provided by the Seller is an invitation to treat and not a binding offer.

  • Quotations are valid for 30 days from the date of issue unless otherwise stated or withdrawn earlier.

  • A contract is only formed when the Seller issues a formal Order Confirmation in writing or dispatches the Goods.

 

1.3 Order Cancellation

 

  • The Buyer may cancel an order for non-bespoke/non-fabricated goods within 14 calendar days of placing the order, provided the goods have not been dispatched.

  • Bespoke or Made-to-Measure Goods (e.g., custom cut-to-size stone, fabricated worktops, special orders) cannot be cancelled or returned once manufacture or procurement has commenced, unless the product is faulty or not as described.

  • Any agreed cancellation of a standard order may be subject to a re-stocking fee (e.g., 20% of the item price) to cover our administrative costs.

 

2. Prices and Payment

 

 

2.1 Price

 

  • The price for the Goods will be as set out in the Seller's Order Confirmation.

  • All prices are exclusive of VAT (unless explicitly stated otherwise) and exclusive of delivery charges, which will be calculated and itemised separately.

  • We reserve the right to increase the price before delivery to reflect any increase in our costs due to factors beyond our control (e.g., foreign exchange fluctuations, increase in cost of materials, new taxes/duties). If we change the price, you will be notified and given the option to cancel the order for a full refund.

 

2.2 Payment Terms

 

  • Retail Customers: Full payment of the Total Price is required at the time the order is placed, or no later than 3 working days prior to the agreed dispatch/delivery date.

  • Trade Customers: Payment terms are as agreed in writing. For approved account holders, payment is due within 30 days of the invoice date.

  • Title to the Goods (ownership) shall not pass to the Buyer until the Seller has received payment in full and cleared funds for the Goods.

 

3. Product Specification and Natural Stone Variation

 

 

3.1 Natural Variation

 

The Buyer acknowledges that natural stone is a geological product and is subject to inherent variations in:

  • Colour and Shading

  • Markings, Veining, and Texture

  • Fissures, Pitting, and Small Holes

  • Size/Thickness Calibration (with a nominal variation of ±3mm being acceptable).

 

3.2 Samples and Descriptions

 

  • Any samples, photographs, or descriptions provided on dandbstone.com or in sales literature are for illustration purposes only and are intended to give a general indication of the stone's characteristics.

  • The Seller does not warrant that the Goods supplied will be an exact match to any sample or previous batch.

 

3.3 Suitability and Installation

 

  • It is the Buyer's responsibility to ensure the Goods are suitable for their intended use and environment (e.g., external use, underfloor heating).

  • We strongly recommend that all stone is professionally installed and treated with appropriate sealants and protectors as advised by the manufacturer.

  • No claims regarding defects, shortages, or unsuitability will be accepted after the Goods have been installed or fixed.

 

4. Delivery, Risk, and Inspection

 

 

4.1 Delivery Times

 

  • Any dates quoted for delivery are estimates only, and time for delivery is not of the essence. The Seller shall not be liable for any delay in delivery, however caused.

  • The Seller is not liable for delays caused by Force Majeure Events (e.g., severe weather, civil unrest, transport strikes, or quarry supply issues).

 

4.2 Delivery Location and Access

 

  • Deliveries are typically made using large vehicles (e.g., 18-tonne lorries) and are kerbside only.

  • The Buyer is responsible for advising the Seller of any delivery restrictions (e.g., weight limits, narrow roads, steep gradients) prior to dispatch. Failure to do so may result in a failed delivery and re-delivery charges being passed to the Buyer.

  • The Buyer must ensure that a responsible person is present to accept and sign for the delivery.

 

4.3 Risk and Inspection

 

  • Risk of damage or loss of the Goods passes to the Buyer upon completion of delivery (i.e., when the goods are off-loaded at the kerbside).

  • The Buyer must carefully inspect the Goods on delivery for any obvious damage, defects, or shortages. Any such issues must be noted on the delivery note at the time of delivery and reported to the Seller within 48 hours via email, accompanied by photographic evidence.

  • Failure to report damage or shortages within this 48-hour period will prejudice any claim, as we are unable to claim against our third-party hauliers thereafter.

 

5. Liability

 

 

5.1 Limitation of Liability

 

Subject to Section 5.2, our total liability to you in respect of all losses arising under or in connection with the Contract shall not exceed the total price paid by you for the Goods to which the claim relates.

 

5.2 Exclusions of Liability

 

We shall not be liable to the Buyer for any:

  • Loss of profits, loss of business, or loss of anticipated savings.

  • Indirect or consequential loss or damage.

  • Costs or delays arising from the installation process, including delays to fitters or other contractors, as a result of late delivery, shortages, or defects.

 

5.3 Statutory Rights

 

Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be legally limited or excluded, including your statutory rights as a consumer.

 

6. Governing Law and Jurisdiction

 

These Terms and Conditions and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation.
